Fox Group acquires DSD Construction, expanding civil engineering and surfacing capability across the UK
Carlisle-based, family-owned business joins the Fox Group as part of a long-term strategy to broaden services for clients and support cross-group collaboration.
Fox Group, the UK construction materials, construction-focused distribution and construction services group and a portfolio company of Stellex Capital Management (“Stellex”), today announced the acquisition of DSD Construction Limited (“DSD”), a leading UK civil engineering and surfacing specialist with a strong track record delivering across highways, infrastructure and regulated sectors.
Headquartered in Carlisle, DSD has built a reputation for high-quality, large-scale delivery, supporting major clients across the public and private sectors. The business combines technical expertise in surfacing, cold milling and in-situ recycling with a robust operational model capable of delivering projects nationwide.
The transaction is the fourth acquisition completed by Fox Group since investment from Stellex and is Fox Group’s largest to date. DSD is a significant user of aggregates and asphalt, and the acquisition is expected to increase Fox Group’s material volumes across the Group. Terms of the transaction have not been disclosed.
DSD Construction will continue to trade under the DSD name as part of the Fox Group family of businesses, sitting alongside J. Fisher & Sons and NMS Civil Engineering. Founder and Chief Executive Shaun Nugent will remain with the business, as will Managing Director Martin Tweddle, helping to ensure continuity of leadership, culture and client relationships.
Why Fox Group is acquiring DSD Construction
- Family values, family business. DSD was founded in 1993 by Dennis Nugent and his sons, Shaun and Darren, and remains family-owned to this day. That ethos mirrors Fox Group’s own heritage as a family-run business and provides a natural cultural fit from day one.
- Extending the services we offer our clients. DSD brings a delivery-focused capability in surfacing, cold milling and in-situ recycling, underpinned by experienced operational teams and a strong plant and logistics platform. The business operates at scale across highways and infrastructure, delivering high-quality outcomes for Tier 1 contractors, local authorities and regulated sector clients.
- Increased material volumes for the Group. DSD is a user of aggregates and asphalt in its surfacing and civils delivery. Bringing DSD into Fox Group supports internal demand for the Group’s construction materials, with the potential to drive additional volume through our supply chain and enhance utilisation across plant and operations.
- Enhanced customer reach. DSD’s established position across highways, nuclear, rail, water and infrastructure sectors broadens the Group’s client base. Its long-term relationships and framework presence provide access to key markets, while supporting new opportunities to deliver integrated services across the Fox Group platform.
- Deeper vertical integration. DSD strengthens the Group’s vertical integration across the construction value supply chain — from materials supply, through distribution, into on-site civil engineering, surfacing and cold milling delivery. That control of more of the chain supports improved service and greater operating efficiency and certainty for clients.
- Strengthening our circular economy model. Fox Group already processes reclaimed asphalt planings (RAP) back into new asphalt through J. Fisher & Sons and NMS Civil Engineering. With DSD’s surfacing and cold milling activity inside the Group, more planings can be captured at source, reprocessed by Fox Group and laid back down by DSD — a closed-loop circular model that reduces virgin aggregate use, lowers embedded carbon and supports clients on their net-zero journeys.
- A clear cross-selling opportunity across the Group. DSD’s surfacing services create cross-selling opportunities with the Group’s existing client base, while DSD’s customers may gain access to Fox Group’s construction materials, distribution and wider construction services — including J. Fisher & Sons (heavy haulage, road planing and asphalt reprocessing) and NMS Civil Engineering.
- National reach, with a strengthened northern footprint. DSD’s Carlisle base and nationwide delivery model add depth to Fox Group’s North West heartland and extend our operational reach across the UK, particularly in the highways, nuclear, rail, public and private sectors DSD already serves.
- Specialist capability in regulated sectors. DSD has a strong track record operating in highly regulated environments, including nuclear, rail, aviation, defence (MOD), water and power sectors, where quality, compliance and programme certainty are critical. This capability strengthens the Group’s ability to deliver complex infrastructure projects and compete for larger, long-term frameworks.
- Continuity of leadership and people. Shaun Nugent stays on as CEO and Martin Tweddle remains Managing Director. The DSD team, brand and Carlisle operating base are all retained — preserving the relationships, know-how and craftsmanship that have built the business over more than 30 years.
- A platform for further investment. DSD represents a strong platform for growth within the Fox Group. With an established operational structure, experienced leadership team and clear market position, the business is well placed to potentially scale further, expand its geographic reach, increase delivery capacity and support future acquisition and integration opportunities across the sector.
Comments
“DSD Construction is exactly the kind of business we want inside Fox Group — family-built, technically excellent and trusted by some of the UK’s most demanding clients. As our fourth acquisition since the Stellex investment, and the largest to date, DSD marks an important step in the Group’s growth. It enhances our customer reach, increases our material volumes, deepens our vertical integration across construction materials, distribution and services, and strengthens our circular economy model by feeding more reclaimed asphalt planings back into new asphalt through J. Fisher & Sons and NMS Civil Engineering. Together we can offer customers a broader, more joined-up proposition.”
– Paul Fox, Chief Executive, Fox Group
“After more than 30 years building DSD with my family and our team, joining Fox Group is the right next step. We share the same values, the same commitment to our people and the same focus on looking after clients. Together we can do more, in more places, for the customers who have backed us for decades.”
– Shaun Nugent, Founder & CEO, DSD Construction
“DSD has built a strong, delivery-focused business with a clear position in the market. Joining Fox Group gives us the platform to scale at pace, expand our reach and increase capacity, opening up new opportunities for the business. This is a strategic move, not just an investment. By integrating our delivery capability with Fox Group’s materials and infrastructure platform, we are creating a more complete and efficient model. That puts us in a strong position to grow, deliver larger frameworks and add greater value for our clients across the UK.”
– Martin Tweddle, Managing Director, DSD Construction
“DSD Construction is a landmark acquisition for Fox Group and a demonstration of the strategy we set out at the time of our investment. The addition of DSD’s civil engineering and surfacing capability to Fox Group’s materials platform represents a meaningful step in the Group’s vertical integration strategy. We are proud to back Paul and his team as they build something genuinely distinctive.”

It is with great sadness that we announce the passing of John Flood, Director of Fox Group, a highly respected colleague and a dear friend.
John joined Fox Group in 2019, bringing with him more than 25 years of senior leadership experience across the construction, infrastructure and utilities sectors. His extensive industry knowledge, strategic insight and commitment to the business played a significant role in shaping Fox Group into the organisation it is today.
Over the past seven years, John worked closely with Paul Fox and the wider leadership team, making an invaluable contribution to the Group’s growth, development and continued success. His guidance, experience and unwavering dedication were instrumental in helping the business achieve many important milestones.
Beyond his professional achievements, John was a trusted colleague, mentor and friend. He was widely respected for his integrity, sound judgement and willingness to support those around him. His influence extended far beyond the boardroom, leaving a lasting impression on the many people who had the privilege of working alongside him.
Reflecting on their years working together, Paul Fox said:
“John was much more than a fellow director and business partner. He was a dear friend and someone I could always rely on for advice, support and an honest opinion. We shared many challenges and achievements over the years, and the trust and belief we had in one another never faltered. His contribution to Fox Group cannot be overstated, and I know we would not be where we are today without him.”

Fox Group is pleased to announce the opening of a new Readymix concrete plant in Leyland through Moore Readymix who are part of the Fox Group. This marks another significant investment in our operations and strengthening our ability to supply high-quality ready-mixed concrete across the North West.
The new facility has a production capacity of 60m³ per hour, supported by a 2m³ mixer, allowing for efficient production, consistent quality and reliable turnaround times to meet the demands of construction projects of all sizes.
The Leyland plant complements Moore Readymix’s existing operation in Lytham St Annes, which has been supplying ready-mixed concrete to customers across the Fylde Coast for over 20 years. Both facilities offer identical production capabilities, further strengthening our regional coverage and supply capacity.
Reliable Concrete Supply and Delivery
To support the new operation, the Leyland plant is equipped with a dedicated delivery fleet consisting of five 6m³ concrete mixer trucks and one MiniMix truck.
This enables Moore Readymix to provide a flexible and dependable delivery service, catering for everything from smaller domestic projects and self-builds to large-scale commercial developments and major construction works.
Investing in More Sustainable Concrete Production
Sustainability has been a key consideration in the development of the new facility, reflecting Fox Group’s wider commitment to reducing environmental impact across our operations.
The plant features two 60-tonne powder silos, providing the flexibility to incorporate higher proportions of cement replacement materials into concrete mixes, helping to reduce their associated carbon impact.
Aggregate loading is also carried out indoors, helping to minimise noise and dust emissions and reduce the impact of operations on the surrounding environment.
These features support our ongoing investment in more efficient and environmentally responsible construction materials production.
Supporting Construction Across the North West
The opening of the Leyland plant represents another important step in Fox Group’s continued growth and investment in its construction materials operations.
Through Moore Readymix, we can now offer increased production capacity, improved regional coverage and a reliable concrete supply service to domestic and commercial customers alike.
Whether you’re undertaking a DIY project, building your own home or managing a major construction development, Moore Readymix can provide high-quality ready-mixed concrete to meet your requirements.

Reliability: The Foundation of Successful Logistics
Technology has transformed the logistics and warehousing industry.
Real-time delivery tracking, improved supply chain visibility and increasingly sophisticated planning systems have changed the way businesses manage their logistics operations. Yet, despite these advancements, one factor continues to define the relationship between logistics providers and their customers: reliability.
For businesses across the UK, consistent logistics performance is not simply a convenience. It is an operational necessity.
Every missed delivery can have consequences. Production schedules can be disrupted, stock availability can be affected, customer service levels can suffer, and revenue can be placed under pressure. When supply chains depend on multiple moving parts, businesses need a logistics partner they can trust to deliver on its commitments.
At Fox Group Logistics, we understand that every load represents an important commitment to a customer.
Our role extends beyond transportation. We provide assurance.
- Assurance that deadlines are treated with importance.
- Assurance that expectations are communicated and managed.
- Assurance that customers can focus on running their businesses while we focus on meeting their logistics requirements.
Reliability is built through consistent performance, attention to detail and a commitment to doing what we say we will do.
Ultimately, transport is built on trust. And trust is earned through delivery, day after day.
Agility: The Competitive Advantage Every Business Needs
While reliability provides the foundation, agility enables businesses to move forward. No matter how carefully an organisation plans, unexpected challenges will always arise. Demand changes. Markets shift. Deadlines move. Customer expectations evolve.
In this environment, the ability to adapt quickly has become an increasingly important advantage for businesses managing modern supply chains. The most successful organisations are not necessarily those with the greatest resources. Often, they are those that can respond effectively when circumstances change. This is where the value of an agile logistics partner becomes clear.
At Fox Group, we believe customers should never feel restricted by their logistics operation. Instead, their logistics partner should empower them to respond to opportunities and navigate challenges with confidence.
Our commitment is built upon flexibility, responsiveness and problem-solving.
When circumstances change, we adapt.
When challenges emerge, we work towards solutions.
When opportunities arise, we help customers explore how their logistics operation can support their ambitions.
Whether a business needs dependable transportation, flexible warehousing or a more comprehensive logistics strategy, having a partner capable of responding to evolving requirements can make a meaningful difference.
Building Logistics Solutions Around Our Customers
As we conclude this edition of Fox Logistics Week, two principles remain at the heart of our approach: reliability and agility.
The modern logistics industry demands more than transportation from one location to another. It requires experience, communication, flexibility and a genuine understanding of the businesses being supported.
Reliable logistics helps organisations plan with confidence. Agile logistics enables them to respond when plans change.
Together, these qualities help create supply chains that are better equipped to meet the demands of modern business.
At Fox Group Logistics, we believe the best logistics solutions are not built around limitations. They are built around customers.
Because when business demands certainty, experience and commitment, trust remains the most valuable asset of all.
Fox Group Logistics — delivering reliability, responding with agility and building trust through every journey.
